这题好像以前讨论过吧。偶怎么记得答案时C呀。them 代investors 没有问题。但是偶没觉得A不好呀。

如果是C，我认为最大的好是补出了 by them 使意思更清楚。表明agreement是one of potential investors 和First Interstate Bank 所签, 而不是其它人。

不过如果不是C，则them就可能成了错，因为也许ETS认为有歧义，前面有potential investors 这个复数。

不知楼主答案是几，A中的that includes 为什么要标红？

还是没觉得C好。没看出简洁来。反而觉得很awkward. 如果是potential investors sign an agreement, 为什么不用主动形式。而且前面主句主语就是跟potential investors 有关的。 这种变化主语的方式好像不是ETS的perference.

我觉得A的that从句修饰对象不明确，可能是the effort也可能是a merger agreement.而with只能是修饰a merger agreement的。而且by them明确了动作对象one of the invenstors.
