其中的D选项和E选项是怎么错了呢？如果D改成that是不是也应该算对呢？

这题目是固定搭配的问题。which指代的是agreement，在某项条款的约定下，就是under the agreement

这句话可以改写为： 38 industrialized countires must reduce emissions of gases linked to global warming by 2012 or face heavy penalties under the agreement, which is the frist to formally require industralized countires to cut emissions of these gases.

我能理解协议条款是under agrement, 并且which 代替 agreement。
但是我不理解such that 和wherein为何错，另外我觉得如果有答案是that的话应该也正确。

such that 是如此。。。以至于的意思。我觉得放在这里语义不通。、
An agreement......such that........一个XXXX条款，如此以至于XXXX

wherein在朗文字典中的解释是：in which place or part，应该是指某个地方，而不能说在XXX条款里面（不能翻译为在XXX条款中，因为在中文里，在XX条款中可以有 XX条款规定的意思）。

另外如果换成that，The agreement is a formal protocol that 38 industrialized countries must reduce emissions
of these gases by 2012 or face heavy penalties.

则that 引导的定语从句 38 industrialized countries must reduce emissions of these gases by 2012 or face heavy penalties.有完整的结构，好像在语法上是不对的，因为定语从句的引导词要在从句中充当成分的，即从句不能使独立的句子。

纯属个人观点，语法我也不是特别精通。如果有不对的地方，还请指正
