有两个问题：

1.这题，我觉得 by them指　potential investors应该没有问题，这里面还有别的地方有复数吗？

2.虽然有人说虚拟语气很灵活，可我不记得og上有这样的表达方法。　主句用 is,条件句用were。

C中的with a provision介词结构做修饰语要注意位置，在这里它修饰前面的them. 而且by them没有必要，且错误。从题文上看，agreement should between investionr and bank。

至于虚拟语气，我觉得were to不是和is 对应，而是penalties if the deal were not to be concluded, 如果交易没有完成将会有Penalities。were to是对将来的虚拟。
